(1): EARNEST MONEY. No Earnest Money shall be paid by either MT or <br />City for the purchase of the respective properties. <br />(2): BALANCE DUE AT CLOSING: City agrees to pay to MT by check or <br />electronic transfer of funds on the Closing Date the difference between the <br />purchase price of the Butcher's Spur and the purchase price of the <br />Exchange Property, less any adjustments as provided by the terms of this <br />Purchase Agreement. <br />(3): DOCUMENTS TO BE DELIVERED AT CLOSING BY CITY. At closing, <br />City shall deliver to MT the following: <br />a. Quit Claim Deed conveying title to the Exchange Property to MT, <br />reserving 30 year railroad easement in favor of City. <br />b. Standard form Affidavit of Seller. <br />C. Certificate that City is not a foreign national. <br />d. License Agreement, in a form to be prepared by the City, consistent <br />with paragraph 12 of this Agreement. <br />• e. Well disclosure certification, if required, or, if there is no well on the <br />Property, the Quit Claim Deed given pursuant to this paragraph <br />2B(3) must include the following statement: "The Seller certifies <br />that the Seller does not know of any wells on the described real <br />property." <br />f. Any other documents reasonably required by Title (as defined <br />below) to evidence that title to the Exchange Property is in the <br />condition required by this Agreement and that City has complied <br />with the terms of this Agreement. <br />(4): DOCUMENTS TO BE DELIVERED AT CLOSING BY MT. At closing, <br />MT shall deliver to City the following: <br />a. Quit Claim Deed conveying title to the Butcher's Spur to City. <br />b. Waiver of relocation benefits in a form to be provided by the City. <br />C. Standard form Affidavit of Seller. <br />d. Certificate that MT is not a foreign national. <br />• e.
