. ,I 4 and payable, the member shall nevertheless make such payment in order to preserve its status as a member in good standing, but such payment may be made under protest and without prejudice to its right to dispute the amount of the charge and to pursue any legal remedies available. Section 5. The charges of the Consortium shall be divided into three classes: a) Class I: These charges shall be made to cover the general administrative and operational expenses not falling within Class II and III. Class .1 charges shall be made as a membership due. These charges shall not be retroactively applied to new members. b) Class II: These charges shall be made to cover the costs of design and development of computer programs and systems and other capital costs. Each member shall pay such portion of the Class II charges as shall be established by the Board, provided that the Board shall attempt to pro rate such charges among the members in as equitable a manner as possible, giving consideration, among other things, to anticipated use of the programs, systems and facilities. New members shall pay a pro rated share of the accumulated charges which have been charged to or incurred by all members. Such charges when paid by new members shall be apportioned among the existing members in cash or credit when possible, as determined by the Board. c) Class III: These charges shall be made to cover the costs of system operation and maintenance in servicing members on an "as requested II basis. The amount of such charges shall be determined on the basis of the actual workload utilized. Section 6. Nothing contained in the foregoing Section 5 shall prevent the Board from charging nonmembers for services rendered by the Consortium on such basis as the Board shall deem appropriate. Section 7. Expenditures of the Consortium shall be in accordance with procedures established by law. VII. EMPLOYEES " Section 1. All employees of the Consortium shall be assigned to a member community. The member community shall be responsible for rendering all employment benefits and direct supervision of employees in accordance with policies established by the Board. Section 2. Any member, assigned an employee, shall be reimbursed by the Consortium for all costs incurred as a result of that assignment, including personal services and administrative over- head.
