The indemnification <br /> provided for in the previous two subparagraphs shall protect <br /> the party indemnified, its successors and assigns, from and <br /> against all actions, proceedings, claims, demands, costs, <br /> damages and expenses, including reasonable attorneys' fees <br /> which it may pay, sustain or incur. <br /> 6. Termination. The parties may terminate this Agreement, prior to the <br /> end of its terms, by the mutual agreement of the School District and the City, or <br /> by either party giving the other thirty (30) days prior written notice of <br /> termination. <br /> 7. Duration. This agreement shall be in force and of effect upon its <br /> execution by the respective parties following authorization by Resolution of the <br /> governing bodies thereof and shall thereafter remain in full force and of effect <br /> for a period of three (3) years. It may be renewed thereafter by the mutual <br /> written agreement of the parties. <br /> 8. Binding Effect.
