The governing body of SRCECB shall be its board. <br />Each member shall be entitled to one director who shall have <br />one vote. <br /> Section 2. Each member shall also be entitled to one a1ter- . <br />nate director who shall be entitled to attend meetings of the . <br />board and who may vote in the absence of the member's director. <br /> Section 3. Directors apd alternate directors shall be <br />appointed by the council of each member. In order for SRCECB to <br />be of maximum value t'o its members, they shall appoint, as their <br />directors and alternates, their chief administrative officers or <br />employees with general administration or public safety management <br />responsibilities except Ramsey County, who shall appoint as its <br />director, the sheriff of Ramsey County. <br /> Section 4. There shall be no voting by proxy; all votes <br />must be cast in person at board meetings by the director or his <br /> ".~. <br />alternate, except the Ramsey County Sheriff who may appoint a <br />designee. The designee of the Sheriff may chair meetings as <br />provided in Article V Section 2 and vote at the discretion of <br />the Sheriff. <br /> Section 5. Directors and alternate directors shall be <br />appointed to serve until their successors are appointed and <br />qualified. <br /> Section 6. When the council of a member appoints a director <br />or an alte.rnate director, it shall give notice of such appointment <br />to SRCE,CB in writing.
