• <br />EXHIBIT F (cont'd) <br />agrees to vacate the Property and deliver the same to the Grantor, or to Grantor's successor or <br />assign. <br />ARTICLE II - USE OF PROPERTY <br />2.1 GRANTEE'S USE. During the term of this License, the Licensed Premises may <br />be used only for the continued use of the Licensed Premises for the existing billboard. <br />2.2 MAINTENANCE. The Grantee accepts the Licensed Premises AS IS, and <br />WHERE IS with all faults and defects. Grantee will be responsible, at its cost and expense to <br />maintain the Licensed Premises, during the term of this Agreement. Grantee acknowledges that <br />the Grantor will have no obligation of any nature to Grantee to maintain, preserve or repair the <br />Property or the Licensed Premises. <br />ARTICLE III - UTILITIES <br />3.1 CHARGES. Grantee shall pay for all utility services provided to the Licensed <br />Premises during the term of the License. <br />ARTICLE IV- DESTRUCTIONAND RESTORATION <br />4.1 DAMAGED. If all or part of the Licensed Premises or improvements is damaged <br />by any casualty, or is affected by any Act of God, whether insured or uninsured, the Grantor will <br />have no obligation to repair or rebuild the improvements. Grantee will have the option, but not <br />the obligation, to rebuild or repair or to terminate this License by exercise of written notice to <br />Grantor. <br />ARTICLE V - PUBLIC LIABILITY, INDEMNITY <br />5.1 GRANTEE'S LIABILITY INSURANCE. Grantee shall, during the entire term <br />hereof, keep in full force and effect a policy of liability and property damage insurance with <br />respect to the Licensed Premises, in which the limits of liability will be the same as the Policy <br />limits which Grantee has historically carried on the Licensed Premises. <br />5.2 INDEMNIFICATION. Except for claims arising out of the willful or negligent <br />act of the other party or its representatives, each party will indemnify and defend the other party, <br />against all claims, expenses and liabilities incurred, including reasonable attorneys' fees, in <br />connection with loss of life, personal injury, or property damage arising out of any occurrence in, <br />upon or at the Licensed Premises, or the occupancy or use thereof by said party, or occasioned <br />wholly or in part by any act or omission of said party, its agents, employees, or contractors.
