purchase price of the Butcher's Spur and the purchase price of the Exchange Property, less any adjustments as provided by the terms of this Purchase Agreement. (3) DOCUMENTS TO BE DELIVERED AT CLOSING BY CITY. At Closing, City shall deliver to MT the following: a. Quit Claim Deed conveying title to the Exchange Property to MT, in substantially the form of the attached Exhibit E b. Standard form Affidavit of Seller. Certificate that City is not a foreign national. d. License Agreement, if required pursuant to paragraph 12 of this Agreement, and in the form as required therein (or, in lieu thereof, the additional sum as required by paragraph 12). Well disclosure certification, if required, or, if there is no well on the Exchange Property, the Quit Claim Deed given pursuant to this paragraph 2B(3) must include the following statement: "The Seller certifies that the Seller does not know of any wells on the described real property." 0 f. Repurchase Agreement in the form attached as Exhibit M. g. Any other documents reasonably required by Title (as defined below) to evidence that title to the Exchange Property is in the condition required by this Agreement and that City has complied with the terms of this Agreement. (4) DOCUMENTS TO BE DELIVERED AT CLOSING BY MT. At Closing, MT shall deliver to City the following: a. Quit Claim Deed conveying title to the Butcher's Spur to City. b. Waiver of relocation benefits pertaining only to the Butcher's Spur in a form attached hereto as Exhibit G. C. Standard form Affidavit of Seller. d. Certificate that MT is not a foreign national. e. Well disclosure certification, if required, or, if there is no well on the Butcher's Spur, the Quit Claim Deed given pursuant to this paragraph 2B(4) must include the following statement: "The Seller certifies that the Seller does not know of any wells on the described real property." 2199835v4 2
