MT Properties for $3.35 per square foot or $1,009,808. In turn, the City will sell the <br />Exchange Parcel (2.0 acres) to MT ,Properties for $3.35 per square foot or $297,679. At <br />closing, the City will pay the differential in value between the two sites ($1,009,808 - <br />$297,679 = $712,129). The closing date was reported as being scheduled for January 14, <br />2009. <br />Councilmember Doffing had a question pertaining to the indemnification provision. Mr. <br />Fernelius explained the City has agreed to indemnify the railroad against any third party <br />claims. Councilmember Phillips questioned who would be responsible for payment if <br />unknown hidden conditions would be exposed if it was not covered by the RAP <br />(Response Action Plans). Mr. Fernelius explained the City would be responsible for <br />payment, Councilmember Phillips questioned the budgeted amount for the cost of the <br />RAP.
