14) Counterparts. This Agreement may be executed in counterparts, each of which <br />shall be deemed an original but all of which together shall constitute one and the same instrument. <br />15) Attorneys' Fees. If any party shall bring suit against the other to enforce the terms <br />of this Agreement, the losing party shall pay to the prevailing party the prevailing party's cost and <br />expenses (including, without limitation, reasonable attorneys' fees and costs) incurred in enforcing <br />this Agreement. <br />16) Assignment. Neither the Consultant nor the City shall assign any of their respective <br />rights, obligations or duties under this Agreement without the others prior written consent. <br />17) Time of the Essence. Time is of the essence of this Agreement. If the time for <br />performance of any obligations hereunder falls on a Saturday, Sunday or a day that is a Minnesota <br />state or federal holiday, the time for performance of such obligations shall be extended to the next <br />day that is not a Saturday, Sunday or Minnesota state or federal holiday. <br />[Signature page follows] <br />
