CITY OF NEW BRIGHTON <br />COUNTY OF RAMSEY <br />STATE OF MINNESOTA <br />RESOLUTION NO. 11-042 <br />A RESOLUTION AUTHORIZING EXECUTION AND DELIVERY <br />OF A SECOND AMENDMENT TO THE CONTRACT FOR PRIVATE <br />REDEVELOPMENT <br />WITH APi GROUP HEADQUARTERS, LLC <br />BE IT RESOLVED by the City Council (the "Council') of the City of New Brighton <br />(the "city") as follows: <br />Section 1. Recitals. <br />1.01. It has been proposed that the City enter into a Second Amendment to the <br />;t for Private Redevelopment (the "Second Amendment') with APi Group <br />carters, LLC, a Minnesota limited liability company (the "Redeveloper"). <br />Section 2. Findings. <br />2.01. The Council hereby finds that it approved and executed a Contract for <br />Redevelopment as of May 10, 2007 with the Redeveloper. <br />2.02. The Council hereby finds that it approved and a First Amendment on <br />:r 14, 2008 with the Redeveloper. <br />2.03. The Council hereby finds that the Second Amendment promotes the <br />ves as outlined in its Development Program established pursuant to Minnesota <br />�s, Section 469.001 et seq. <br />Section 3. Authorizations. <br />3.01. The Mayor and the City Manager (the "Officers") are hereby authorized to <br />e and deliver the Second Amendment when the following conditions are met: <br />1. Substantial conformance to the Second Amendment presented to the <br />Authority as of this date with such additions and modifications as the <br />Officers may deem desirable or necessary as evidenced by the execution <br />thereof; <br />3.02. The Officers are hereby further authorized to execute and deliver the <br />1 Amendment. <br />
