CITY OF NEW BRIGHTON COUNTY OF RAMSEY STATE OF MINNESOTA RESOLUTION NO. 11-069 A RESOLUTION AUTHORIZING EXECUTION AND DELIVERY OF A LISTING AGREEMENT WITH WELSH COMPANIES, LLC AND A REDEVELOPMENT SERVICES AGREEMENT WITH RYAN COMPANIES US, INC. BE IT RESOLVED by the City Council (the "Council') of the City of New Brighton, ;ota (the "City") as follows: Section 1. Recitals. ' 1.01 The Council previously authorized staff on May 10, 2011 to enter into negotiations with Welsh Companies, LLC and Ryan Companies US, Inc. for the marketing andloevelopment of office/commercial property in New Brighton Exchange. 1.02 City staff has completed the negotiations which have been memorialized in the ff ¢rm of a Listing Agreement (the "Welsh Agreement') with Welsh Companies, LLC and a RQdevelopment Services Agreement (the "Ryan Agreement') with Ryan Companies US, In - 1 Section 2. Findings. 2.01 The Council hereby finds that the Welsh Agreement and the Ryan Agree - men are consistent with the City's Modified Development Program established pursuant to Min sots Statutes, Section 469.124 et seq. and the Tax Increment Financing Plan for Tax Incr ment Financing District No. 32 and 32A (NWQ Special Law), established pursuant to Min sota Statutes, Section 469.174 et seq. and Laws of Minnesota 1998, Chapter 389, Arti e 11, Section 24. Section 3. Approval of Agreements and Authorization to Execute. 3.01 The City Council hereby approves the Welsh Agreement and the Ryan nent and authorizes the Mayor and City Manager (the "Officers") to execute and both agreements when the following condition is met: Substantial conformity of the form of agreements presented to the City as of this date, with such additions and modifications as the Officers may deem desirable or necessary as evidenced by the execution thereof.
