f. Conduct other advertising and public relations activities, including <br /> respective expenses as agreed on by City and Agent. <br /> g. Perform and summarize in writing a site analysis of the Property and a <br /> market overview thereof, including an estimate of the fair market value of <br /> the Property. <br /> h. Qualify all proposed purchasers, including analyzing the financial <br /> capabilities thereof. <br /> i. To the extent necessary to maximize the number of qualified proposed <br /> purchasers or as deemed appropriate by Agent, employ the services and <br /> cooperate with other brokers in selling the Property. Fees paid to other <br /> brokers shall be in accordance with the provisions of paragraph 7 hereof. <br /> Notwithstanding the foregoing, City reserves the right to negotiate all <br /> sales contracts and related documents in accordance with the provisions of <br /> paragraph 9 hereof. <br /> j. Meet with City on a bi-monthly basis, or more or less frequently if <br /> requested by the City, in order to plan and implement the sales program <br /> for the Property and to keep City fully advised as to the status of sales <br /> activity for the Property. <br /> k. Perform such other duties as are customarily performed by sales agents <br /> selling similar properties in the Twin Cities Metropolitan Area. <br /> 1. Be properly licensed at all times during the term hereof and during any <br /> period of time covered by paragraph 12 hereof. <br /> City shall approve all marketing brochures, signage, advertising, press releases and other <br /> communication pieces related to marketing the Property. <br /> 4. Agreement with Redeveloper. Agent shall enter into and maintain a separate <br /> written listing agreement(s) for build to suit and/or speculative development projects with <br /> Redeveloper and perform an aggressive canvassing and marketing program for such projects. <br /> The City will be provided with a copy of said listing Agreement and any amendments made <br /> thereto. <br /> 5. Exclusiveness of Agent. City shall not during the term of this Agreement <br /> authorize any other person, firm or corporation to negotiate or act as Agent with respect to the <br /> proposed sale of the property, save and except for the reservation by City set forth in paragraph 9 <br /> hereof, and provided that prospective purchasers shall have the right to hire Agents to represent <br /> such purchasers. Subject to prior approval by City, Agent shall have the right to display on the <br /> Property suitable signs of Agent which state that Agent is the sales agent of the Property. <br /> 3 <br />
