2.21 System Manager means the Ramsey County employee who is responsible for <br /> management of the System and who reports to the Director. <br /> 2.22 System Replacement Fund means a budget fund for eventual replacement of the <br /> System. <br /> 2.23 System User means an individual or agency of a Governmental Unit that is <br /> authorized to utilize the System. <br /> 2.24 Year means one calendar year. <br /> 3. Membership <br /> 3.1 Only a Governmental Unit ("Entity")that is a party to an agreement with the County <br /> for Dispatch Services ("Dispatch Agreement") and is within the boundary of Ramsey <br /> County may become a Member under this Agreement. <br /> 3.2 An Entity that is not an Initial Member may become an Additional Member using the <br /> following process: <br /> 3.2.1 The Entity submits to the Chair of the CAD Policy Committee a resolution of <br /> the Entity's governing body approving the submission of a request to become <br /> a Member under the terms and conditions of this Agreement. <br /> 3.2.2 The CAD Policy Committee reviews the request in consultation with <br /> appropriate County staff (which may include ECC staff, Attorney(s) and/or <br /> Administration staff), and takes action on such request within 120 days of <br /> receipt of the request. <br /> 3.2.3 Upon approval of membership by the CAD Policy Committee, the requesting <br /> Entity and the County execute a duplicate of this Agreement, or the version <br /> of this Agreement then in effect for all Members. <br /> 3.2.4 Within 60 days of Agreement execution, the Additional Member pays an <br /> initial one-time fee to cover licensing and other startup costs as described in <br /> section 8. Cost/Payment. <br /> 3.3 Upon final execution of this Agreement and receipt of the initial one-time fee, the <br /> Entity shall become an Additional Member and shall have all of the rights and <br /> responsibilities of a Member as set forth in this Agreement. <br /> 4. Governance <br /> 4.1 CAD Policy Committee <br /> 4.1.1 The CAD Policy Committee is hereby created with the duties, powers, and <br /> responsibilities as set forth in this Agreement. <br /> 4.1.2 The CAD Policy Committee ("Committee") shall be comprised of the <br /> members of the Dispatch Policy Committee as identified in section 4.02 of <br /> the 2005 Joint Powers Agreement Between Ramsey County and the City of <br /> Saint Paul for Consolidated Dispatch Operations ("Dispatch JPA"), an excerpt <br /> of which is attached hereto and made part of this agreement as Exhibit 1, <br /> CAD and Mobile Data Agreement Ramsey County and User Members Page 3 of 48 <br />
