encumbrances and restrictions, except those which are recorded against the Redevelopment <br />Property and the Option Property. <br />(f) The City, subject to Unavoidable Delays, will convey the Redevelopment <br />Property and the Option Property, if applicable, to the Owner pursuant to Article N for the <br />Owner's use in accordance with the Plan and this Agreement. <br />(g) The City will reasonably cooperate with Owner and the Redeveloper with respect <br />to any litigation commenced by third parties in connection with this Agreement. <br />(h) To the City's knowledge, Exhibit H includes all environmental reports and other <br />documents in the City's possession or control regarding the environmental condition of the <br />Redevelopment Property and Option Property. <br />(i) There is not pending, nor to the best of the City's knowledge after due inquiry is <br />there threatened, any suit, action or proceeding against the City before any court, arbitrator, <br />administrative agency or other governmental authority that materially and adversely affects the <br />validity of any of the transactions contemplated hereby, the ability of the City to perform its <br />obligations hereunder, or the validity or enforceability of this Agreement. <br />0) There are no parties other than the City in possession of any portion of the <br />Redevelopment Property or the Option Property, nor are there any leases (oral or written) <br />applicable to or affecting the Redevelopment Property. <br />(k) No third party has an option to purchase, right of first refusal, right of first offer or <br />other similar right with respect to all or a portion of the Redevelopment Property or the Option <br />Property and the City has not entered into any other contracts for the sale of all or any portion of <br />the Redevelopment Property or the Option Property with any third party. <br />(1) The City is not aware of any methamphetamine production occurring on the <br />Redevelopment Property or the Option Property. This representation is intended to satisfy the <br />requirements of Minn. Stat. § 152.0275, Subd. 2(m). <br />(m) To the best of the City's knowledge, information and belief, and without <br />conducting any independent investigation: <br />L There are "Wells," as defined in Minn. Stat. § 103I.005, Subd. 21, on the <br />Redevelopment Property and the Option Property as shown on attached Exhibit L <br />or as set forth in the Environmental Reports. This representation is intended to <br />satisfy the requirements of Minn. Stat. § 1031.235. <br />ii. There are no individual sewage treatment systems as defined in <br />Minn. Stat. § 115.55, Subd. 1, on the Redevelopment Property or the Option <br />Property. This representation is intended to satisfy the requirements of <br />Minn. Stat. § 115.55, Subd. 6. <br />
