<br /> 3 <br />unemployment insurance, medical care, sick leave, vacation pay, severance pay, <br />or any other benefits available to CONB employees shall accrue to MCCD or <br />employees of MCCD performing services under this agreement. The MCCD is <br />an independent contractor. <br /> <br />(b) All of the services required to carry out the Initiative will be performed by <br />MCCD, and all personnel engaged in the work shall be fully qualified and shall be <br />authorized or permitted under State and local law to perform such work. <br /> <br />PERFORMANCE OF WORK <br /> <br /> The service to be provided by MCCD shall commence upon execution of this Agreement. <br />All services, documents, and information to be furnished or performed by MCCD in <br />order to carry out the Initiative shall be furnished or performed as promptly as possible, <br />and with the fullest due diligence. <br /> <br />TERMINATION OF AGREEMENT FOR CAUSE <br /> <br /> If, through any cause, MCCD shall fail to fulfill in a timely and proper manner its <br />obligations under the Agreement or Guidelines, or if MCCD shall violate any of the <br />covenants, agreements, or stipulations of this Agreement or the Guidelines, the CONB <br />shall thereupon have the right to terminate this Agreement by giving written notice of <br />such termination and specifying the effective date thereof. The MCCD shall not incur <br />any further costs as of the effective date indicated in the termination notice delivered by <br />the CONB. In the event of termination of this Agreement under this paragraph, all <br />documents, books and records shall be returned to CONB as of the effective date of the <br />termination hereunder. <br /> <br />TERMINATION FOR CONVENIENCE <br /> <br /> Either party may terminate this Agreement at any time by giving written notice to the <br />other party of such termination and specifying the effective date thereof, at least 120 days <br />before the effective date of such termination. Upon receipt of the notice of termination <br />pursuant to this paragraph of the Agreement, the party that received the notice will cease <br />to perform services except for those services requested by the party that has given the <br />notice of termination to wind up and complete any part of the Initiative and incur no <br />additional costs unless otherwise directed by the party that has issued the termination <br />notice. In the event of termination of this Agreement under this paragraph, all <br />documents, books and records shall be returned to CONB as of the effective date of the <br />termination hereunder. <br /> <br />INTEREST OF MEMBERS OF THE CITY, CONB AND OTHERS <br /> <br /> No officer, member, or employee of the City of New Brighton, and no member of its <br />governing body, and no other public official or governing body of the locality in which <br />the Initiative is situated or being carried out, who exercises any functions or
