Conflict of Interest The Contractor agrees that no member, officer, or employee of the City shall have any interest, direct or indirect, in the Agreement or the proceeds thereof. Violation of this provision shall cause the Agreement to be null and void and the Contractor will forfeit any payments to be made under the Agreement. 5.20 Entire Agreement The executed Agreement supersedes the City’s Request for Proposal (RFP), the Contractor’s proposal, previous agreements between the Contractor and the City for recycling services and all verbal agreements and negotiations between the parties relating to the subject matter hereof as well as any previous agreements presently in effect between the parties relating to the subject matter hereof. Any alterations, amendments, deletions, or waivers of the provisions of the executed Agreement shall be valid only when expressed in writing and duly signed by the parties, unless otherwise provided herein. 5.21 Agreement Conditions The Contractor shall be required to execute this Agreement and to fulfill the requirements contained within it. The bonds/surety and certificate of insurance shall be provided when the Agreement is executed. The Contractor shall review and return signed copies of this Agreement within 30 days of receipt of the Agreement. 6. TERM OF CONTRACT The term of this Agreement will be for a period of seven years from January 1, 2017 through December 31, 2023. A mutually-agreed-to extension of the Agreement term may be negotiated by both parties, for any term desired, at any point during the term of this Agreement. Any extension shall not be valid unless approved in writing by both parties.
