1 <br /> <br />2nd AMENDMENT TO <br />REDEVELOPMENT SERVICES AGREEMENT <br /> <br /> <br />THIS SECOND AMENDMENT (the “2nd Amendment”) made and entered into as of <br />the ________ day of ______________, 2017, by and between the City of New Brighton, a <br />Minnesota municipal corporation, having its principal offices at 803 Old Highway 8 NW, New <br />Brighton, Minnesota 55112 (“City”) and Ryan Companies US, Inc., having its principal offices <br />at 50 South Tenth Street, Suite 300, Minneapolis, MN 55403 (“Redeveloper”). <br />WHEREAS, City and Redeveloper have entered into an agreement on June 28, 2011 (the <br />“Redevelopment Services Agreement”) pursuant to which Redeveloper provides certain services <br />related to the redevelopment of certain commercial sites in the property commonly known as <br />New Brighton Exchange in the City of New Brighton; and <br />WHEREAS, City and Redeveloper entered in the 1st Amendment to Redevelopment <br />Services Agreement (“1st Amendment”) that, among other things, extended the term of the <br />Redevelopment Services Agreement to December 31, 2017; and <br />WHEREAS, City and Redeveloper desire to amend the terms and conditions of the <br />Redevelopment Services Agreement. <br />NOW, THEREFORE, in consideration of the foregoing, and in consideration of the <br />mutual terms, covenants, conditions and agreements herein contained, City and Redeveloper <br />agree as follows: <br /> 1. The Redevelopment Services Agreement is hereby amended by replacing Section <br />6.1 in its entirety with the following: <br />Term. The term of this Agreement shall commence on June 28, 2011 and terminate on <br />December 31, 2019; provided, however, that this Agreement may be terminated earlier in <br />accordance with the provisions of Article VIII hereof. <br />2. All other terms and conditions not expressly modified by this 2nd Amendment <br />shall continue in full force and effect. <br />(the remainder of this page intentionally left blank; signature pages follow)
