Organics Collection Agreement <br />Revised 6/2019 <br />2) Weight or volume of SSO collected as reported by vendor on biannual <br />waste audits. <br /> <br />II. LIABILITY <br /> Each party agrees that it will be responsible for its own acts and the results thereof to the extent <br />authorized by law and shall not be responsible for the acts of the other party and the results <br />thereof. <br /> <br />a. TERM OF AGREEMENT <br /> This Agreement is in effect when fully executed by both parties, and shall remain in effect <br />until terminated by either party. This Agreement may be terminated immediately by either <br />party in the event of any violations of the material terms or conditions of this Agreement by <br />the other party, with a follow-up letter confirming termination delivered to the other party <br />within seven (7) days. Either party may terminate this Agreement without cause upon giving <br />at least thirty (30) calendar days written notice thereof to the other party. <br /> <br />b. RECOVERY OF MATERIALS <br />Upon termination of this Agreement the County reserves the right, but is not obligated, to <br />retain materials and signage used in the construction of the SSO enclosure. In such an event <br />the County will be responsible for deconstruction and hauling of materials off site. <br /> <br />c. FINANCIAL CONSIDERATION <br />The County and the City each agree to bear their own costs associated with this Agreement <br />and that no payment is required by either the County or the City to the other party. <br /> <br />d. CHANGES OR ADDITIONS TO THE AGREEMENT <br /> Any changes or additions to this Agreement must be in writing and signed by authorized <br />representatives of each party. <br /> <br />e. MINNESOTA GOVERNMENT DATA PRACTICES ACT <br />The parties understand that all data collected, created, received, maintained or disseminated <br />for any purpose in connection with this Agreement is subject to the provisions of the Minnesota <br />Government Data Practices Act, Minn. Stat. Ch. 13, any other applicable state statutes, and <br />state rules adopted to implement the Act and statutes, as well as federal statutes and regulations <br />on data privacy. <br />
