6 <br /> ARTICLE I <br /> <br /> DEFINITIONS <br /> <br /> Section 1.1. Definitions. In this Agreement, the following terms shall the meaning <br />assigned below unless a terms is expressly defined else where in this Agreement: <br /> <br /> “Act” means the Municipal Development Districts Act, Minnesota Statutes Sections <br />469.124 to 469.134, inclusive, as amended. <br /> <br /> “Agreement” means this Agreement, as the same may be from time to time modified, <br />amended, or supplemented. <br /> <br /> “Certificate of Completion” means the certification provided to the Redeveloper pursuant <br />to Section 5.8 in the form of the certificate contained in Exhibit D. <br /> <br /> “Certificate of Completion Date” means the date the Certificate of Completion is <br />executed by the City. <br /> <br /> “City” means the City of New Brighton, Minnesota, its successors or assigns. <br /> <br /> “Closing” or “Date of Closing” means the date on which the Property is conveyed by the <br />City to the Redeveloper as set forth in Article IV(f). <br /> <br /> “Construction Plans” means the plans, specifications, drawings and related documents on <br />the construction work to be performed by the Redeveloper on the Redevelopment Property which <br />shall be as detailed as the plans, specifications, drawings and related documents which are <br />submitted to the building official of the City, and shall include at least the following for each <br />building: (1) site plan; (2) foundation plan; (3) floor plan for each floor; (4) elevations (all <br />sides); (5) façade and landscape plan; and (6) such other plans or supplements to the foregoing <br />plans as the City may reasonably request. <br /> <br /> “Council” means the Council of the City. <br /> <br /> “County” means the County of Ramsey, Minnesota. <br /> <br /> “Declaration of Restrictive Covenants and Prohibition Against Tax Exemption” means <br />those restrictive covenants substantially in the form of Exhibit H. <br /> <br /> “Development District” means Development District No. 1 created by the City pursuant <br />to the Act through the adoption of the Program. <br /> <br /> “Event of Default” means an event of default as defined in Section 9.1. <br /> <br /> “Indemnified Parties” means City, Barr Engineering and their respective elected officials, <br />officers, employees and agents.
