25 <br />Redeveloper. This subparagraph (a) shall not apply to any loss resulting from negligent, willful <br />or wanton misconduct of any of the Indemnified Parties. <br /> <br /> (b) Except for any negligent or willful misrepresentation or any negligent, willful or <br />wanton misconduct of any of the Indemnified Parties, the Redeveloper agrees to protect and <br />defend the Indemnified Parties, and further agrees to hold the aforesaid harmless, from any claim, <br />demand, suit, action or other proceeding based upon the acts of the Redeveloper or of others <br />acting on behalf of or under the direction or control of the Redeveloper with respect to the <br />construction of the Public Improvements and Site Improvements and the construction, <br />installation, ownership, and operation of the Minimum Improvements. <br /> <br /> (c) The Redeveloper agrees to protect and defend the Indemnified Parties, and further <br />agrees to hold the aforesaid harmless, from any claim, demand, suit, action or other proceeding <br />by reason of any lien or claim of lien for labor, services or materials (including allowances for <br />interest or profit) of any general contractor, subcontractor or sub-subcontractor, materialmen or any <br />persons whatsoever, or by reason of any equitable or statutory lien against the Redevelopment <br />Property, arising by reason of or in the course of any construction, improvement or work of any <br />nature, whether heretofore completed, now in progress or hereafter to be done. <br /> <br />(d) None of the Indemnified Parties shall be liable for any damage or injury to the <br />person or property of the Redeveloper or its officers, agents, servants or employees or any other <br />person who may be on or about the Redevelopment Property or Minimum Improvements due to <br />any act or negligence of any person, other than the negligence or misconduct of an Indemnified <br />Party. <br /> <br /> (e) All covenants, stipulations, promises, agreements and obligations of the City <br />contained herein shall be deemed to be the covenants, stipulations, promises, agreements and <br />obligations of the City and not of any governing body member, officer, agent, servant or <br />employee of the City in the individual capacity thereof. <br /> <br /> (f) Nothing in this Section is intended to waive any municipal liability limitations <br />contained in Minnesota Statutes, particularly Chapter 466. <br /> <br />ARTICLE VIII <br /> <br />This Article intentionally left blank. <br /> <br /> <br />ARTICLE IX <br /> <br />EVENTS OF DEFAULT <br /> <br /> Section 9.1.
