Page -2- <br /> <br /> 2.2. Certificates of insurance evidencing coverages required in § 5.1, below. <br /> <br /> 2.3. Certification Regarding Debarment, Suspension, Ineligibility and <br />Voluntary Exclusion – Lower Tier Covered Transactions, in a form <br />substantially similar to attached Exhibit B. <br /> <br /> 2.4. Ramsey County Prevailing Wage Certification, in a form substantially <br />similar to attached Exhibit D. <br /> <br /> 3. REPRESENTATIONS AND WARRANTIES To induce AUTHORITY to <br />enter into this GRANT AGREEMENT, GRANTEE makes the following <br />representations and warranties to AUTHORITY: <br /> <br /> 3.1. GRANTEE has full power, right and authority to execute and deliver this <br />GRANT AGREEMENT and to perform and observe each and all of the <br />matters and things provided for in this GRANT AGREEMENT. <br /> <br /> 3.2. TGLDC, LLC is the owner of the PROPERTY in fee simple. <br /> <br /> 3.3. To the best of GRANTEE's knowledge, the PROPERTY does not violate <br />any federal, state or local law, ordinance or regulation. <br /> <br /> 3.4. There are no actions, suits, or proceedings pending, at law or in equity, or <br />to the knowledge of GRANTEE threatened, against or affecting it or the <br />PROPERTY, and GRANTEE is not in default with respect to any order, <br />writ, injunction, decree, or demand of any court or any governmental <br />authority. <br /> <br /> 3.5. The consummation of this transaction and performance of GRANTEE's <br />obligations under the GRANT AGREEMENT will not result in any breach <br />of, or constitute a default under, any mortgage, deed of trust, lease, bank <br />loan, or credit agreement, partnership agreement or other instrument <br />which affects GRANTEE, or to which GRANTEE is a party. <br /> <br /> 3.6. GRANTEE represents and warrants it has not used the PROPERTY in <br />connection with the generation, disposal, storage, treatment, or <br />transportation of Hazardous Substances and that the PROPERTY will not <br />be so used during the term of this GRANT AGREEMENT by GRANTEE, <br />its agents, tenants or assigns, except as required to comply with an MPCA <br />approved Development Response Action Plan. <br /> <br /> 3.7. GRANTEE has obtained all of the insurance described in Section 5.1 and <br />such policies of insurance are in full force and effect as of the date of this <br />GRANT AGREEMENT. <br />
