This AGREEMENT shall be interpreted and construed according to the <br />laws of the State of Minnesota. All litigation regarding this <br />AGREEMENT shall be venued in the appropriate state or federal district <br />court in Ramsey County, Minnesota. <br /> <br /> 7.9. The AUTHORITY's rights hereunder shall be fully assignable, but the <br />GRANTEE's rights hereunder shall not be assignable without the written <br />consent of the AUTHORITY which consent shall be in the <br />AUTHORITY’s sole discretion. <br /> <br /> 7.10. It is agreed that nothing contained in this AGREEMENT is intended or <br />should be construed as creating the relationship of agents, partners, joint <br />venturers, or associates between the parties hereto or as constituting the <br />GRANTEE as the employee of the AUTHORITY for any purpose or in <br />any manner whatsoever. The GRANTEE is an independent contractor and <br />neither it, its employees, agents nor representatives are employees of the <br />AUTHORITY. <br /> <br /> 7.11. All data collected, created, received, maintained or disseminated for any <br />purpose in the course of the GRANTEE’s performance of this Agreement <br />is governed by the Minnesota Government Data Practices Act, Minn. Stat. <br />Ch. 13, and any other applicable state statutes, any state rules adopted to <br />implement the Act and statutes, as well as federal statutes and regulations <br />on data privacy. <br /> <br />7.12. Upon the expenditure of all funds covered by this GRANT <br />AGREEMENT, GRANTEE shall submit a report to AUTHORITY <br />describing the completed clean-up work and a financial summary of all <br />sources and uses of funds for the PROJECT. Upon the date of issuance of <br />the No Further Action Determination letter issued by the MPCA <br />(“COMPLETION”), GRANTEE shall provide a final report with a
