10. Compliance with Laws. In performing their duties and obligations <br /> hereunder, the parties shall comply with all applicable state, federal, and local laws and <br /> regulations. <br /> 11. This Agreement is binding on the <br /> parties and their respective successors and assigns and shall be governed by the laws of the <br /> State of Minnesota. <br /> 13. Severability. The invalidity or unenforceability of any provision in this <br /> Agreement shall not in any way affect the validity or enforceability of any other provision, <br /> and this Agreement shall be construed in all respects as if such invalid or unenforceable <br /> provisions had never been part of the Agreement. <br /> 14. Waiver. Any waiver by either party of a breach of any provision of this <br /> Agreement will not affect, in any respect,the validity of the remainder of this Agreement. <br /> 15. Entire Agreement and Amendment. This Agreement constitutes the entire <br /> agreement between the parties concerning the Work, and unless otherwise provided in this <br /> Agreement, any other agreements or understandings, whether oral or written, with respect to <br /> such matters are superseded and revoked.
