<br />, . <br /> <br />-~ <br /> <br />(a) Loan Agreement, to be dated as of May 1, 1993 (the <br />"Loan Agreement"), proposed to be made and entered into <br />between the city and the Company; <br /> <br />(b) Indenture of Trust, dated as of May 1, 1993 (the <br />"Indenture"), proposed to be made and entered into between <br />the City and National city Bank of Minneapolis, as trustee <br />(the "Trustee"); <br /> <br />(c) Combination Mortgage, Assignment of Leases and <br />Rents, Security Agreement and Fixture Financing Statement, <br />dated as of May 1, 1993 (the "Mortgage"), proposed to be made <br />and entered into between the Company and the Trustee; <br /> <br />(d) Bond Purchase Agreement (the "Bond Purchase <br />Agreement"), proposed to be made and entered into among the <br />ci ty, the Company and Piper Jaffray, Inc. (the "Underwriter") ; <br /> <br />(e) Remarketing Agreement (the "Remarketing Agreement"), <br />dated as of May 1, 1993, proposed to be made and entered into <br />between the Company and the Underwriter (as the remarketing <br />agent thereunder). <br /> <br />(f) Collateral Assignment of City Note (the "Note <br />Assignment"), to be dated as of the date of delivery thereof, <br />proposed to be made and entered into between the Company and <br />the Trustee; <br /> <br />(g) Certificate of Amendment of Declaration of <br />Restrictive Covenants (the "Declaration"), to be dated as of <br />the date of delivery thereof, proposed to be made and entered <br />into among the Company, the Trustee and the City; <br /> <br />(h) Subordination and Warranty Agreement (the <br />"Subordination Agreement") to be dated as of the date of <br />delivery thereof, proposed to be made and entered into between <br />the city and the Trustee; and <br /> <br />(i) Preliminary Official Statement, proposed to be dated <br />on or about April 15, 1993 (the "Preliminary Official <br />Statement"). <br /> <br />Section 2. Findings. It is hereby found, determined and <br />declared that: <br /> <br />(a) The issuance of the Bonds for the purpose of <br />refu~d~ng the Prior Bonds will result in the continued <br />prov~s~on of necessary housing facilities, so that adequate <br />housing facilities are available to residents of the City at <br />a reasonable cost, which is a public purpose; and <br /> <br />11041 <br /> <br />3 <br />
