<br />if any, as they may deem appropriate, to execute the <br />Subordination Agreement on behalf of the City, with such <br />additions and modifications as those officers may deem <br />desirable or necessary, as evidenced by their execution <br />thereof; provided, however, that it shall be a condition <br />precedent to such approvals and execution that the Guaranty <br />shall have first been executed and delivered to the City. The <br />City hereby consents to the Partnership I s assignment of the <br />Development Agreement to the Company, which consent shall be <br />effective upon the delivery to the City of the executed <br />Guaranty and of the documents evidencing such assignment. <br /> <br />3. Upon execution and delivery of the Subordination <br />Agreement, the officers and employees of the City are hereby <br />authorized and directed to take or cause to be taken such <br />actions as may be necessary on behalf of the City to imple- <br />ment said agreement. <br /> <br />4.
