<br />EXHIBIT A <br />CONSENT OF EASEMENT HOLDER TO EASEMENTS <br /> <br />KNOW ALL PERSONS BY THESE PRESENTS that the undersigned, City <br />of New Brighton, being the holder and owner of an easement dated <br />and recorded as <br />Document No. in the office of the County Recorder <br />in and for Ramsey County, Minnesota covering the premises lying <br />and being in Ramsey County, Minnesota, and described herein in <br />consideration of the sum of One Dollar and other good and <br />valuable consideration to it in hand paid, the receipt of which <br />is hereby acknowledged, hereby consents to the condemnation <br />and/or execution and delivery of those certain easements between <br />the owners of said property and the Metropolitan Waste Control <br />Commission (MWCC), formerly the Metropolitan Sewer Board, a <br />duly~constituted agency of the Metropolitan Council created and <br />organized pursuant to Minnesota Laws 1985, Chapter 13, Minnesota <br />Statutes S473.503, to wit: <br />Parcel No.4: See EXHIBIT B <br />It is understood and agreed by and between the MWCC and City <br />of New Brighton that the previously existing utility easement in <br />favor of the City of New Brighton through and near the above <br />described MWCC easement is paramount to any proposed public use <br />of said property by the MWCC. <br />MWCC covenants and agrees to indemnify, hold harmless, <br />protect, and defend the City from any and all loss, damage, <br />claim, or liability, expenses, costs and reasonable attorneys' <br />fees arising out of or resulting from or incurred in the use and <br />operation of the New Brighton Interceptor, MWCC Project No. 84-51, <br />through the above described property. <br />
