\ - .< following documllnts, -- all of which are now or shall be placed on file in the office of the Finance Director-City-Clerk: a) the Agreement; b) the Assignment; c) the Mortgage; d) the Pledge Agreement; e) the Escrow and Disbursing Agreement; f) the Lease; and g) the Subordination, Nondisturbance and Attornment Agreement. The forms of the documents listed in (a) through (g) above are approved, with such variations, insertions and additions as are deemed appropriate by the parties and approved by the Mayor. The documents listed in (b), (c), (f) and (g) above, being documents to which the Issuer is not a party, will not be ex ecu ted by the Issuer. The Mayor and the F inance- Director-City Clerk are hereby authorized and directed to execute, attest and deliver the documents listed in (a), (d) and (e) above. All of the provisions of these documents, when executed and delivered as authorized herein shall be deemed to be. a. part of this resolution as fully and to the same extent as if incorporated verbatim herein and shall be in full force and effect from the date of execution and delivery hereof. Section 7. For the purpose of financing the cost of the acquisition, construction and installation of the Project, there is hereby authorized the issuance of a $942,000 City of New Brighton, Minnesota, Commercial Development Revenue Note- (Sahara Investment co. Project) (First State Bank of New Brighton, Lessee), to be dated as of its delivery. The Note: shall be issued substantially in the form presented to the City Council and set forth as Exhibit A to this Resolu- tion, with such appropriate variations, omissions and inser- tions as are permitted or required by this Resolution, in the princ ipal amount of $942,000. The offer of the Lender to purchase the Note at a price of par is found reasonable and is accepted. The terms of the Note are set forth therein, and such terms" including, but not limited to, provisions as to interest-rate, dates and amount of payment of principal and interest and prepayment privileges, are incorporated by reference herein. Section 8. The Note- shal~ be executed on behalf of the Issuer by the manual signatures of the Mayor and the Finance Director~ity Cl.erk and shall. be sealed with its corporate seal and authenticated by the City Manager. In case any officer whose signature shall. appear on the Note shall cease to be such officer before the delivery thereof, such signa- ture shall, nevertheless, be valid and sufficient for all purposes. - 6 -
