<br />between the Issuer and the Borrower, pursuant to which
<br />the Borrower shall develop and improve the Land;
<br />
<br />"Disbursement Agreement" means that certain Dis-
<br />bursement Agreement, dated as of December 1, 1982, by
<br />and among the Issuer, the Lender an~1ihe Bor rower, and
<br />accepted by Ti tle, which governs the disbursement of
<br />moneys from the Construction Fund established and
<br />created pursuant to the Agreement for the payment of
<br />Construction Costs and Loan and Carrying Charges;
<br />
<br />"Equipment" means the Equipment as that term is
<br />defined in the Agreement;
<br />
<br />"Guarantors" means James W. Sipe, M.D., Joseph F.
<br />Wethington, M.D., William W. Radman, M.D., Mark H.
<br />Brakke, M.D., Ronald J. Jankowski, M.D., Thomas J. Blan-
<br />kenship, M.D., Carlos Grados, M.D., Richard A. Knowles,
<br />M.D., Jeffrey W. Nelson, M.D., Arthur F. Braun, James E.
<br />Seay, M.D., John W. Underwood, M.D., Richard C. Bertie,
<br />M.D., James T. Adkins, M.D., Gehry O. Sower, M.D.,
<br />David M. HaIth, M.D., Byron C. Holth, M.D., Michael J.
<br />Curley, M.D., Richard K. Mestrich, M.D., Peter A. Jerni-
<br />gan, M.D. and Arthur Nieto, M.D., jointly and severally
<br />as individualS residing in the State of Minnesota;
<br />
<br />"Guaranty" means that certain Guaranty, dated as of
<br />December 1, 1982, by and among the Guarantors and the
<br />Lender;
<br />
<br />"Holder" means
<br />banking or financial
<br />pating interest in the
<br />multiple holder of the
<br />
<br />the Lender and
<br />institutions
<br />Note and any
<br />Note;
<br />
<br />all participating
<br />holding a partici-
<br />subsequent single or
<br />
<br />"ISSUer" means the City.of New Brighton, a munici-
<br />pal corporation and political subdivision of the State
<br />of Minnesota, duly organized and existing under the laws
<br />of the State of Minnesota, and any successor or succes-
<br />sors to its powers, duties and obligations under this
<br />Resolution, the Pledge Agreement and the Agreement;
<br />
<br />"Land n means the real property descr ibed in the
<br />Mortgage which is owned by the Issuer and leased to the
<br />Borrower pursuant to the Lease-Purchase Agreement;
<br />
<br />"Lease-Purchase Agreement" means that certain
<br />Lease-Purchase Agreement, dated as of December 1, 1982,
<br />by and between the Issuer and the Borrower, by which the
<br />Borrower is granted a leasehold interest in the Land;
