CITY OF NEW BRIGHTON <br />COUNTY OF RAMSEY <br />STATE OF MINNESOTA <br />RESOLUTION NO. 14 -012 <br />A RESOLUTION AUTHORIZING EXECUTION AND DELIVERY <br />OF A CONTRACT FOR PRIVATE REDEVELOPMENT <br />WITH APi GROUP HEADQUARTERS, LLC <br />BE IT RESOLVED by the City Council (the "Council ") of the City of New Brighton <br />(the "City ") as follows: <br />Section 1. Recitals. <br />1.01. It has been proposed that the City enter into a Contract for Private <br />Red iwelopment (the "Agreement ") with APi Group Headquarters, LLC, a Minnesota <br />limited liability company (the "Redeveloper") for purposes of an office expansion project <br />in New Brighton Exchange. <br />Section 2. Findings. <br />2.01. The Council hereby finds that it approved a term sheet on June 11, 2013 <br />des ibing the major business terms of Redeveloper's office expansion project on a four <br />acre parcel in New Brighton Exchange. <br />2.02. The Council hereby finds that the Agreement promotes the objectives as <br />outl hed in its Development Program established pursuant to Minnesota Statutes, Section <br />469.001 et seq. <br />Section 3. Authorizations. <br />I1 <br />3.01. The Mayor and the City Manager (the "Officers ") are hereby authorized to <br />execute and deliver the Agreement when the following conditions are met: <br />1. Substantial conformance to the Agreement presented to the Council as of <br />this date with such additions and modifications as the Officers may deem <br />desirable or necessary as evidenced by the execution thereof; <br />2. Payment of $17,300 in cash as outlined in the Agreement and payment of <br />$23,490 as described in the 2008 Amended and Restated Contract for <br />Private Redevelopment (the "2008 Agreement "). <br />3.02. The Officers are hereby further authorized to execute and deliver the <br />Agreement. <br />
