A governmental unit desiring to be a member after <br /> January 1, 1977 shall be admitted only upon the favorable vote <br /> of two-thirds of the board members. The Board may impose conditions <br /> upon the admiE;sion of new members. <br /> Section 3. The County of Ramsey shall be entitled to the full <br /> privileges of membership, subject to the proper execution of this <br /> agreement along with the authorizing resolution, the payment of <br /> Class I charges and any other charges incurred as. a result of ser- <br /> vices rendered to the County by the Consortium. The Director of <br /> the Department of Data Processing or his designate shall serve <br /> as the representative on the Board of Directors. <br />IV. BOARD OF DIRECTORS <br /> Section 1. The governing body of the Consortium shall be its <br /> Board of Directors. Each member shall be entitled to one repre- <br /> sentative who shall have one vote on the Board. <br /> Section 2. Each member shall be entitled to one alternate repre- <br /> sentative \~ho shall vote in the absence of the appointed repre- <br /> sentative. <br /> Section 3. Representatives and alternates shall be appointed by <br /> the Council of each member and shall serve until their successors <br /> are appointed. <br /> Section 4. A representative or alternate shall be s~bject to <br /> removal by the appointing Council, at any time, with or without <br /> cause. <br /> Section 5. A representative or alternate shall not be eligible <br /> to vote on behalf of his governmental unit during the time that <br /> such governmental unit is in default on any contribution or any <br /> contract with the Consortium. During the existence of such de- <br /> fault, the vote of such governmental unit shall not be counted as <br /> an eligible vote for the purpose of this agreement. <br />V. POWERS OF THE BOARD OF DIRECTORS <br /> Section 1. The Board shall take such action as it deems necessary <br /> and appropriate to accomplish the general purpose of this agree- .. <br /> ment, (Including but not limited to, the establishment of manage- <br /> ment information systems, engaging in the development and imple- <br /> mentation of the necessary programs therefor, acquiring any <br /> necessary site, purchasing any necessary supplies, equipment and <br /> machinery, employing any necessary personnel and operating and <br /> maintaining any systems for the handling of data processing and <br /> management information.) <br /> Section 2. The Board shall have full control and management of the <br /> affairs of the Consortium including the power to make contracts, <br /> leases or other agreements as it deems necessary to make effective <br /> any power to be exercised by the Consortium pursuant to this agree- <br /> ment~ to provide for the prosecution and defense or other partici- <br /> pation in actions 01:.' proceedings at la,,, in l.vhich it may have an <br /> interest: to conduct such research and investigation as it deems <br />
