Seller shall <br />have no rights to Billboard Lease payments in the event of lessee non- <br />payment which is not cured by lessee or in the event of termination of the <br />Billboard Lease according to the terms currently in force or tenns approved <br />by Seller in the future. <br /> <br />Seller agrees to provide, at Seller's expense, a commitment for an ALTA <br />Owners Policy of Title Insurance, which commitment shall be in the ALTA <br />fonn specified by Buyer. The commitment will delete standard exceptions <br />and include endorsements reasonably required by Buyer. The commitment <br />shall be issued by a title company ("Title") selected by Buyer. Buyer shall <br />pay the premium for any title insurance issued at closing. <br /> <br />Seller, at its expense, shall provide an ALTA survey ("Survey") prepared by <br />a Registered Land Surveyor in accordance with Buyer's survey requirements <br />and which allows Title to issue an owner's policy without exception for <br />survey matters. <br /> <br />Any wells either abandoned or operating shall be identified on the Survey. <br />All operating wells shall be abandoned in accordance with Minnesota <br />Statutes. Before abandonment, Buyer shall have completed all desired <br />environmental testing in the well area and shall have notified Seller that <br />testing is complete. <br /> <br />Prorated as of closing: Seller to pay prior, Buyer to pay future except as <br />provided in the lease. <br /> <br />Seller to pay all pending and levied. <br /> <br />Buyer shall have the right to enter the Property and perform any <br />environmental testing, soil testing and other due diligence activities that <br />Buyer deems necessary. Seller shall provide Buyer with any documents, <br />including correspondence with any environmental agency, affecting the <br />Property. <br /> <br />Seller, at its expense, shall remove any storage tanks prior to closing and <br />shall provide Buyer with the appropriate certification that any pollution or <br />leakage has been remedied in accordance with Minnesota Statutes. <br /> <br />Buyer will demolish any structures on the Property after the tennination of <br />Buyer's lease agreement with Seller. Buyer's demolition activities shall <br />include disposal of any asbestos materials, mercury switches, ballasts and <br />fluorescent lights located in the structures. <br /> <br />Seller, at its expense, shall remediate any contamination relating to the <br />Property and to the personal property.and provide evidence satisfactory to <br />Buyer that the remediation has been completed prior to closing in accordance <br />with applicable State and Federal laws. <br />
