completion of construction of the trail to the satisfaction of the County, the improvement within Long Lake Regional Park shall become the property of the County. 3. The City shall construct the trail per the approved plans and inspect the trail during construction to determine compliance with the approved plans and specifications. 4. The City shall be responsible for all ongoing maintenance (including snow removal), and pay the cost of replacement and reconstruction of the trail. The City shall maintain the trail to the same standards used for other City trails. SECTION 2 DURATION AND AMENDMENT 1. This Agreement may be terminated only by written agreement of both parties. 2. This Agreement may be amended in writing upon agreement of both parties. • SECTION 3 AGREEMENT SUBJECT TO DATA PRACTICES ACT This Agreement shall be subject to the Minnesota Data Practices Act, Minnesota Statutes Chapter 13, and comparable provisions of Federal Law. SECTION 4 INDEMNIFICATION AND INSURANCE 1. The City agrees to indemnify, defend and hold the County harmless from all claims, demands, costs or judgments caused by or arising out of the construction, operations and maintenance of the trail provided for in this Agreement. Nothing herein shall constitute a waiver by either party of the limitations or liability available per Minnesota Statutes Chapter 466 or other applicable law. 2. The City shall require that their contractor(s) name the County as "Additional Insured" on all insurance policies required by the City for services and activities associated with the trail described herein. An acceptable Insurance Certificate shall be delivered to the County prior to the commencement of said trail project. 9
