COMMUNICATIONS SITE LEASE AGREEMENT <br />(Ground Space Only) <br />THIS AGREEMENT is made effective as of the day of . 2010 by and between <br />the City of New Brighton, a Minnesota municipal corporation ("City"} and TTM Operating <br />Corporation, Inc., a Nevada corporation, with an address of 146 North Canal Street, Suite 210, <br />Seattle, WA 98103 ("Tenant"}. <br />RECITALS <br />I. The City is the owner of a parcel of land located in the City of New Brighton, County of <br />Ramsey, State of Minnesota, commonly known as the South Water Tower Site, located at <br />660 5`h Street S.W. (the "Property"). The Property is more particularly described in Exhibit <br />A to this Agreement. <br />2. Tenant has requested that the City lease approximately 4' by 8' (32 square feet) of the <br />Property (the "Premises"). The Premises are depicted in Exhibit B to this Agreement. <br />3. Tenant seeks to utilize the Premises to install certain communications facilities (the <br />"Facilities"). The Facilities are described in Exhibit C to this Agreement. Generally, <br />Tenant seeks to install a backhaul network from wireless/cell sites located on the City <br />water tower adjoining the Premises to the wireless carriers' switches. Tenant will not <br />provide wireless communications services to end-user customers and will not install <br />wireless antennas or facilities on the Premises for such purposes. <br />4. Installation of the Facilities must have no adverse effect on the City's use of the Property to <br />supply municipal water from the water tower adjoining the Premises. <br />AGREEMENT <br />1. Lease of Premises.
