Participant listed above to be represented on the Board as long as <br /> such Participant continues to exist as a separate political subdivision. <br /> 3.3 Responsibility for Employees: All employees engaged in the work <br /> to be performed by a participant under this Agreement may not be <br /> considered employees of any other participant for any purpose, <br /> including worker's compensation and other claims that may or might <br /> arise out of the employment context on behalf of the employees. All <br /> claims made by a participant as a result of any act or omission of a <br /> participant's employees while engaged on any of the work performed <br /> under this Agreement are not the obligation or responsibility of any <br /> other participant. Each participant is responsible for injuries or death <br /> of its own personnel. Unless otherwise provided by law, each <br /> participant will maintain workers' compensation insurance or self- <br /> insurance coverage, covering its own personnel while they are <br /> providing services under this Agreement. Each participant waives the <br /> right to sue any other participant for any workers' compensation <br /> benefits paid to its own employee or volunteer or their dependants, <br /> even if the injuries were caused wholly or partially by the negligence <br /> of any other participant or its officers, employees, or volunteers. <br /> 3.4 Emergency Management Assistance Compact EMAC: Any <br /> participant engaged as a member of the AHIMT and deployed as part <br /> of an EMAC request are afforded all the protections and coverage as <br /> stated in Minn. Stat. 192.89, and retains all stated protections and <br /> coverage while engaged as part of an EMAC request. <br /> 4.0 Board of Directors. <br /> 4.1 Directors. The Organization shall be governed by a Board of <br /> Directors which shall consist of one (1) qualified Director appointed by <br /> the governing body of each participant. Each Participant may <br /> designate a qualified alternate for its appointed Director. <br /> 4.2 Qualifications. Directors and alternates must be Team Members and <br /> must have taken the current FEMA All-Hazards Incident Management <br /> Team Training, Incident Command System ICS-400 level training and <br /> current FEMA IS 700 and IS 800 training. <br /> 4.3 Compensation. Directors shall serve without compensation from the <br /> Organization or Board. This shall not prevent a Participant from <br /> providing compensation to a Director for serving on the Board. <br /> 5.0 QuorumNoting. <br /> 5.1 Quorum. A majority of all of the Directors shall constitute a quorum. <br /> A simple majority vote of the Directors present at a meeting with a <br /> valid quorum shall be required for the Board to take action, unless <br /> otherwise provided in this Agreement or by law. <br /> Final 11- 23,2010 2 <br />
