The Agent shall be solely responsible for the payment of all brokers and <br /> agents, including all Non-Listing Agents, in connection with any sale of the Property and shall <br /> defend, indemnify and hold the City harmless for any claims that may be asserted for the <br /> payment of commissions or any other compensation in connection with the sale of the Property. <br /> Provided, however, that the City shall be responsible for any commissions or compensation it <br /> incurs as the result of any written agreements to pay the same, other than this Agreement. <br /> It is specifically agreed and acknowledged that no other compensation, commission, fee <br /> or other payment of any kind whatsoever shall be due to Agent by City with respect to any other <br /> property of any kind or description of the City, other than the compensation specifically required <br /> hereunder in connection with the sale of the Property. <br /> 8. Registration of Proposal for and from Prospect. Agent shall register all <br /> prospective purchasers secured by Agent with City, and Agent shall provide City or its <br /> consultant/s with copies of all correspondence with prospective purchasers. Agent shall register <br /> all prospective purchasers with City or its consultant and provide the following information: (i) <br /> the name and address of such prospective purchaser (unless bound by a confidentiality <br /> agreement), and/or co-broker (ii) the proposed terms of sale of the Property offered to such <br /> purchaser, and (iii) the action taken by Agent with respect to such purchaser, including the <br /> meetings held by Agent with such purchaser. The registration of a prospective purchaser shall be <br /> contained in the monthly report (as described in paragraph 11) due after the Agent's first contact <br /> with such prospective purchaser. All proposals to prospective purchasers shall be prepared by <br /> Agent and reviewed by City. <br /> 9. Reservation by City. City reserves the right, for itself and its affiliates to <br /> negotiate directly with any individual, firm or corporation with whom it has had previous <br /> business dealings. City will notify Agent of any interest of such individual, firm or corporation <br /> as soon as reasonably after such individual, firm or corporation contacts City. <br /> In addition, City reserves the right, for itself and its affiliates, to negotiate all sales <br /> contracts a and related documents, in whole or in part, with all prospective purchasers of the <br /> Property, it being agreed that all sales contracts and related documents must be satisfactory to <br /> City in its sole discretion. <br /> 10. Termination. Notwithstanding any other provision of this Agreement, the <br /> agreements herein contained shall be terminated and the rights and obligations of the parties <br /> hereto shall thereupon cease, other than the Non-Termination Rights set forth below and an <br /> accounting shall be made by Agent to City, upon any of the following circumstances or events: <br /> a. Taking under eminent domain or other like proceedings of more than <br /> twenty percent(20%) of the Property. <br /> 5 <br />
