b. Agent is adjudged a bankrupt or Agent makes an assignment for the <br /> benefit of its creditors under any insolvency act. <br /> c. Upon either party failing to perform its obligations under the agreement, a <br /> party may give notice of the non-performance to the other party, and upon the <br /> receipt such notice this Agreement shall terminate. <br /> d. Mutual agreement of City and Agent expressed in writing. <br /> e. Expiration of the term of the Agreement without written extension or <br /> renewal agreement signed by City and Agent. <br /> f. Thirty (30) days after written notice to terminate this Agreement is given <br /> by either party to the other party; provided, however, that notice under this <br /> subparagraph shall not be given earlier than 6 months from the date of this <br /> Agreement. <br /> 11. Monthly Reports. On or before the tenth day of each calendar month during the <br /> term of this Agreement, Agent shall furnish to City a written report describing the current <br /> status of the selling efforts for the Property and setting forth in detail the following <br /> information: <br /> a. A description of all calls made by the Agent on prospective purchasers <br /> during the previous calendar month and the disposition or result of each such call. <br /> b. A registration of prospective purchasers as described in paragraph 8, a list <br /> of the prospective purchasers who constitute current prospects, and a description <br /> of the status of negotiations with each such prospective purchaser. <br /> c. Such other information that City may from time to time request. <br /> 12. Post-Termination Rights of Agent. Subject to paragraph 11 hereof, after the <br /> termination of this Agreement, Agent shall have the right to a commission on the closing of any <br /> sale of the Property made by City and with a prospective purchaser registered with City in <br /> accordance with this paragraph 7, provided that such registered prospective purchaser actually <br /> closes the purchase of the Property from City within six (6) months after the date of termination <br /> of this Agreement. Provided, however, that a commission post-termination shall be paid only if <br /> within five (5) days after the termination of this Agreement, Agent shall submit City a written <br /> list of registered prospective purchasers who Agent has taken to meet with City prior to the <br /> termination of this Agreement for discussions of the terms and conditions of a proposed purchase <br /> of the Property and whom the Agent wishes to assert a claim for post-termination compensation. <br /> Such written list must be reasonably acceptable to City. Except as provided in this paragraph, <br /> the Agent shall have no entitlement to any commission or compensation following termination of <br /> this Agreement. <br /> 6 <br />
