  <br />17 <br />483433v3 NE136-8 <br />layoff or termination, rates of pay or other forms of compensation and selection for <br />training, including apprenticeship. <br /> <br />In the event of the Contractor’s noncompliance with the non-discrimination clauses of <br />this Agreement, this Agreement may be canceled, terminated, or suspended, in whole or <br />part, in addition to other remedies as provided by law. <br /> <br />5.5 Compliance with Laws and Regulations <br /> <br />In providing services hereunder, the Contractor shall abide by all statutes, ordinances, <br />rules, and regulations pertaining to the provision of services to be provided hereunder. <br />Any violation shall constitute a material breach of the Agreement. <br /> <br />5.6 Governing Law <br /> <br />The laws of the State of Minnesota shall govern all interpretations of this Agreement, and <br />the appropriate venue and jurisdiction for any litigation which may arise hereunder will <br />be in those courts located within the County of Ramsey, State of Minnesota, regardless of <br />the place of business, residence or incorporation of the Contractor. <br /> <br />5.7 Waiver <br /> <br />Any waiver by either party of a breach of any provisions of the executed Contract shall <br />not affect, in any respect, the validity of the remainder of the executed Contract. <br /> <br />5.8 Termination <br /> <br />The City may terminate this Agreement if the Contractor fails to fulfill its obligations <br />under the Agreement in a proper and timely manner, or otherwise violates the terms of <br />the Agreement if the default has not been cured after 90 days’ written notice has been <br />provided. The City shall pay the Contractor all compensation earned prior to the date of <br />termination minus any damages and costs incurred by the City as a result of the breach. <br />If the Agreement is terminated, all finished or unfinished documents, data, studies, <br />surveys, maps, models, photographs, reports or other materials prepared by the <br />Contractor under this Agreement shall, at the option of the City, become the property of <br />the City, and the Contractor shall be entitled to receive just and equitable compensation <br />for any satisfactory work completed on such documents or materials prior to the <br />termination. <br /> <br />5.9 Severability <br /> <br />The provisions of this Agreement are severable. If any portion hereof is, for any reason, <br />held by a court of competent jurisdiction, to be contrary to law, such decision shall not <br />affect the remaining provisions of this Agreement. <br /> <br />5.10 Accounting Standards
