I will share that he <br />was encouraged by the open dialogue during our lunch with you and the team a few weeks ago, but he was surprised <br />and extremely disappointed in the counter‐proposal. That said, I reviewed the factors in play that we discussed, <br />including history of the project, economic downturn, impact of lost time in collecting tax increment, other development <br />options under consideration by the City, and how those impact both the short and long term scenarios. <br /> <br />With those factors in mind, APi would like to negotiate purchase the land, rather than extend the option, as we believe it <br />more closely aligns with the goals of the City. Near term benefits include a cash purchase with a quick closing by the end <br />of this month, and annual payments to compensate for lost tax increment to the city starting in 2018, which would bring <br />tax increment money to the city in advance of the timing for new residential development. In the long run, we allow the <br />capacity to accommodate future growth of APi Group in first class facilities in New Brighton, and the jobs and tax <br />benefits that commercial property brings to the City. <br /> <br />Purchase Offer Details: <br />1. Purchase Price: $5.00/S.F. <br />2. Purchase Timing: Cash purchase, close by February 28th, 2017 <br />3. $62,206 annual payment to City starting May 1, 2018, until developed <br />4. Development timing determined by APi Group <br /> <br />As we discussed via phone today, APi’s intent is to quickly work out purchase terms that are acceptable to the <br />City.
