499366v1 DTA NE136-8 1 <br />INSPECTION SERVICES AGREEMENT <br /> <br /> THIS INSPECTION SERVICES AGREEMENT (the “Agreement”) is made and <br />entered into this 13th day of June, 2017, by and between the City of New Brighton, a Minnesota <br />municipal corporation (the “City”), and Rum River Ventures, LLC, a Minnesota limited liability <br />company, d/b/a Rum River Construction Consultants (the “Inspector”). The City and the <br />Inspector may be referred to collectively herein as the “Parties.” <br /> <br /> WHEREAS, the City is interested in contracting with the Inspector for the performance <br />of general building inspection services within the City of New Brighton; and <br /> <br /> WHEREAS, the Inspector represents that it has the necessary skill, equipment, licensing, <br />and personnel to provide general building inspection services to the City; and <br /> <br />WHEREAS, the City desires to contract with the Inspector to provide, and the Inspector <br />desires to provide, said general building inspection services in accordance with the terms and <br />conditions of this Agreement. <br /> <br />NOW, THEREFORE, in consideration of the promises and the mutual obligations of <br />the Parties hereto, each of them does hereby covenant and agree with the other as follows: <br /> <br />1. SCOPE OF SERVICES. <br /> <br />During the term of this Agreement, the Inspector shall perform general building <br />inspection services for the City on an as-needed basis upon the City’s request (the <br />“Authorized Services”). The Authorized Services shall include those types of duties and <br />functions customarily rendered by building inspectors under law. The Authorized <br />Services will only be assigned to the Inspector as determined necessary by the City’s <br />Building Official or the City’s Assistant Director of Community Assets and <br />Development/Planning Director, or his or her respective designee. The Inspector shall <br />perform the Authorized Services within the timelines requested by the City and in <br />accordance with all other terms and conditions of this Agreement. There is no guarantee <br />of a certain number of hours of work under this Agreement. If for any reason the <br />Inspector determines that it is unable to perform any of the Authorized Services within <br />the timelines requested by the City, it shall immediately notify the City by phone so <br />alternative plans can be made. <br /> <br />2. TERM OF AGREEMENT. <br /> <br />The term of this Agreement shall be from its effective date until its termination in <br />accordance with this section. Either party may terminate this Agreement at any time, for <br />any reason, upon 14 days advance written notice to the other party. Additionally, the City <br />may terminate this Agreement immediately upon a finding that the Authorized Services <br />are not being performed in a professional manner or upon a finding that the Inspector <br />fails to complete tasks consistent with direction from the City and this Agreement. <br />
