31 <br /> <br />ARTICLE XI <br /> <br />TERMINATION OF AGREEMENT <br /> <br /> Section 11.1. Termination. Either party may terminate this Agreement as provided <br />herein, and otherwise this Agreement shall terminate upon its Termination Date and the <br />discharge of all of the parties’ other respective obligations hereunder, but no such termination <br />shall terminate any indemnification or other rights or remedies arising hereunder due to any <br />Event of Default which occurred and was continuing prior to such termination. <br /> <br /> Section 11.2. Effect of Termination. Upon termination of this Agreement pursuant to <br />this Article XI, this Agreement shall be null and void and neither party shall have any further <br />obligations or liabilities hereunder. Upon such termination the Redeveloper and City shall <br />deliver to each other such documents as may be necessary to evidence the termination of this <br />Agreement. <br /> <br /> Section 11.3. Sections to Survive Termination. Article II, Section 7.3 and Section 9.7, in <br />addition to any specific reference to surviving provisions herein, survive the termination of this <br />Agreement. In addition, the terms and conditions of the Declaration of Restrictive Covenants <br />and Prohibition Against Tax Exemption shall remain in effect until the dissolution or other <br />termination of the Tax Increment District. <br /> <br />Section 11.4. Continuing Obligation. City and Developer agree to cooperate with each <br />other and their representatives regarding any reasonable requests made subsequent to the execution <br />of this Agreement to correct any clerical errors in this Agreement and to provide any and all <br />additional documentation deemed necessary by either party to effectuate the transaction <br />contemplated by this Agreement. <br /> <br /> <br /> IN WITNESS WHEREOF, the City and the Redeveloper have caused this Agreement <br />to be duly executed on or as of the date first above written. <br /> <br />(Signatures begin on next page.)
