5.Notices and Demands. All notices, demands or other communications under this Agreement <br />shall be effective only if made in writing and shall be sufficiently given and deemed given when <br />delivered personally or mailed by certified mail, return receipt requested, postage prepaid, <br />properly addressed as follows: <br />If to City: Craig Schlichting <br />Director of Community Assets and Development <br />City of New Brighton <br />803 Old Hwy 8 <br />New Brighton, MN 55112 <br />If to Owner: Daryl Clyde Schmalzbauer <br />721 6th Ave NW <br />New Brighton, MN 55112 <br />Or to such other persons as the parties may from time to time designate in writing and <br />forward to the other persons entitled to receive notice as provided in this section. <br />6.Amendment. This Agreement, including the recital and attached exhibit which are incorporated in <br />and made part of this Agreement, contains all of the agreements between the parties regarding <br />this matter and may only be modified by a written amendment signed by both parties. <br />7.No Waiver. Nothing in this Agreement shall be construed as a waiver by the City of any <br />exemptions or limits on liability available to it under Minnesota Statutes, Chapter 466 or other <br />law. <br />8.No Third Party Rights. This Agreement is entered into for the benefit of the Owner, City, and <br />City Parties and it is not intended to, and does not, confer any rights or remedies upon any other <br />persons. <br />9.Term. This Agreement shall be in effect as of the date first written above and shall terminate <br />upon the City’s notice of completion of the Work and any warranty period applicable to the <br />Work conducted on the Property. <br />10.Binding Effect. This Agreement runs with the Property and is binding upon, and insures to the <br />benefit of, the parties and their respective heirs, successors, and assigns.
