Page -8- <br />or rehabilitation of the PROPERTY. <br />5.25 Conform with the labor laws of the State of Minnesota, and all other laws, <br />ordinances, and legal requirements affecting the work in Ramsey County <br />and Minnesota. As to the PROJECT, conform to the Ramsey County <br />Prevailing Wage Ordinance No. 2013-329. The minimum wage rate per <br />hour to be paid for each classification of work shall be the union wage rate <br />in the locality of the PROJECT for those classifications over which the <br />unions have jurisdiction and the local prevailing rate for those <br />classifications of work in the localities over which the unions do not have <br />jurisdiction. Failure to comply with these requirements may result in civil <br />or criminal penalties. <br />The terms "prevailing wage", "minimum wage rate per hour", and <br />"prevailing rate" as used in the contract, shall mean "prevailing wage rate" <br />as defined in Minnesota Statutes §177.42. <br />Throughout the term of this Agreement, GRANTEE shall submit Certified <br />Payroll Records within 14 days of the end of a pay period and in <br />accordance with the requirements of Ramsey County Prevailing Wage <br />Ordinance No. 2013-329. Failure of the GRANTEE to submit the <br />Certified Payroll Records in accordance with the Ordinance may result in <br />criminal or civil enforcement by the County, including, but not limited to <br />termination of the agreement for cause, withholding of payments, and <br />assessment of liquidated damages. <br />5.26 Provide training and employment opportunities for lower income residents <br />within the area served by the PROJECT as required by the Housing and <br />Urban Development Act, § 3, 12 U.S.C. § 1701u and in accordance with <br />the requirements of the Ramsey County Section 3 Plan. As appropriate, <br />the Section 3 Clause, a copy of which is attached hereto as Exhibit C and <br />made a part hereof, shall be included in contracts between GRANTEE <br />and contractors and subcontractors. <br />6.NEGATIVE COVENANTS GRANTEE covenants and agrees that for as long <br />as it is indebted to AUTHORITY, it will not: <br />6.1. Merge or consolidate with or into any other entity. <br />6.2. Default upon any contract or fail to pay any contract or fail to pay any of <br />its debts or obligations as the same mature, subject to the applicable cure <br />periods set forth in such a contract. <br />6.3. Generate, dispose of, use, store, treat or transport Hazardous Waste <br />Substances on, in, over or across the PROPERTY or allow GRANTEE's <br />tenants to do so; provided, however, that GRANTEE may treat or
