Page -8- or rehabilitation of the PROPERTY. 5.25 Conform with the labor laws of the State of Minnesota, and all other laws, ordinances, and legal requirements affecting the work in Ramsey County and Minnesota. As to the PROJECT, conform to the Ramsey County Prevailing Wage Ordinance No. 2013-329. The minimum wage rate per hour to be paid for each classification of work shall be the union wage rate in the locality of the PROJECT for those classifications over which the unions have jurisdiction and the local prevailing rate for those classifications of work in the localities over which the unions do not have jurisdiction. Failure to comply with these requirements may result in civil or criminal penalties. The terms "prevailing wage", "minimum wage rate per hour", and "prevailing rate" as used in the contract, shall mean "prevailing wage rate" as defined in Minnesota Statutes §177.42. Throughout the term of this Agreement, GRANTEE shall submit Certified Payroll Records within 14 days of the end of a pay period and in accordance with the requirements of Ramsey County Prevailing Wage Ordinance No. 2013-329. Failure of the GRANTEE to submit the Certified Payroll Records in accordance with the Ordinance may result in criminal or civil enforcement by the County, including, but not limited to termination of the agreement for cause, withholding of payments, and assessment of liquidated damages. 5.26 Provide training and employment opportunities for lower income residents within the area served by the PROJECT as required by the Housing and Urban Development Act, § 3, 12 U.S.C. § 1701u and in accordance with the requirements of the Ramsey County Section 3 Plan. As appropriate, the Section 3 Clause, a copy of which is attached hereto as Exhibit C and made a part hereof, shall be included in contracts between GRANTEE and contractors and subcontractors. 6.NEGATIVE COVENANTS GRANTEE covenants and agrees that for as long as it is indebted to AUTHORITY, it will not: 6.1. Merge or consolidate with or into any other entity. 6.2. Default upon any contract or fail to pay any contract or fail to pay any of its debts or obligations as the same mature, subject to the applicable cure periods set forth in such a contract. 6.3.
