i> .~ 5. The City Clerk-Treasurer shall obtain a copy of the proposed approving legal opinion of bond counsel, O'Connor & . Hannan, of Minneapolis, Minnesota, which shall be complete except as to dating thereof, shall cause such opinion to be filed in the offices of the City, and shall cause said opi- nion to be pr i nted on each of the Bonds, together wi th a certificate to be signed by the facsimile signature of the City Clerk-Treasurer in substantially the following form: I hereby certify that the foregoing is a fuil, true, and correct copy of the legal opinion exe- cuted by the above-named at torneys, except as to the dating thereof, which opinion has been handed to me for filing in my office prior to the time of delivery of the Bonds. The Bonds shall be executed on behalf of the City by the facsimile signatures of the Mayor and the City Clerk- Treasurer and shall be duly authenticated by the manual signature of an authorized officer of Norwest Bank Minneapo- lis, N.A., hereby designated by the City as its authenti- cating agent for the Bonds pursuant to Minnesota Statutes, Section 475.55, Subdivision 1. The Bonds, when fully exe- cuted, shall be deli vered by the City Cler k-Treas urer .to the Purchaser upon receipt of the purchase price, and the Pur- chaser shall not be obligated to see to the proper appli- cation thereof.. 7. In accordance with Minnesota Statutes, Section 273.76, Subdivision 5, the tax increments received with respect to the City's Tax Increment Financing District No.3 (the "Tax Increments") shall be segregated in a special account, hereby created, on the official books and records of the City, which account is hereby designated Tax Incre- ment District No. 3 Account. Within such account there is hereby created a subaccount designated as $1,400,000 General Obligation Tax Increment Bonds of 1983, Series A, Debt Ser- vice Account (the "Debt Service Account") which shall be held in trust by the City for the benef it of the holder s from time to time of the Bonds, as hereinafter provided. until the principal of and interest on all of the Bonds are paid, or until all of the Bonds are otherwise discharged as hereinafter provided, the following funds are hereby pledged to the payment of the principal of and interest on the Bonds, when due, and the same shall be depos i ted into the - 9 -
