478335v2 TJG NE136-8 <br /> <br /> <br /> <br />SUB-GRANT AGREEMENT <br /> (Metropolitan Council Grant) <br /> <br /> THIS SUB-GRANT AGREEMENT (this “Agreement”) is made as of this 23 day of May, <br />2017, by and between the City of New Brighton, a Minnesota municipal corporation (the <br />“Grantee”), and Mateer Properties LLC, a limited liability company in the state of Minnesota (the <br />“Sub-grantee”): <br /> <br /> WHEREAS, on February 9th, 2016, the Grantee entered into a grant contract with the <br />Metropolitan Council (the “Grant Agreement”), a copy of which is attached hereto as Exhibit A and <br />is incorporated herein and made part of this Agreement; and <br /> <br /> WHEREAS, the Grant Agreement provides that the Metropolitan Council is to grant to the <br />Grantee a sum not to exceed $50,000.00, which funds shall be used to fund the costs of water <br />efficiency projects specified in the Grant Agreement; and <br /> <br /> WHEREAS, the Grant Agreement provides that the Grantee is to match 25 percent of the <br />grant amount with its own funds; and <br /> <br /> WHEREAS, eligible projects under the grant program include funding to replace toilets <br />with a water efficient US EPA WaterSense labeled toilet; and <br /> <br /> WHEREAS, the Sub-grantee is the owner of a 11 unit multi-family housing complex that is <br />located at 462 9th Avenue NW in the City of New Brighton, which is legally described on the <br />attached Exhibit B (the “Property”); and <br /> <br /> WHEREAS, the toilets that are on the Property in the 11 units are not water efficient; and <br /> <br /> WHEREAS, the Sub-grantee has requested that it be able to replace the toilets by using the <br />grant funds; and <br /> <br /> WHEREAS, the Grantee will be passing a portion of the funds provided in the Grant <br />Agreement through to Sub-grantee to replace the toilets; and <br /> <br /> WHEREAS, the Grantee and the Sub-grantee have agreed for Sub-grantee to assume <br />certain duties and responsibilities of the Grantee under the Grant Agreement in consideration of <br />receiving funds provided for in the Grant Agreement and subject to the terms, conditions, and <br />limitations set forth therein. <br /> <br /> NOW, THEREFORE, in consideration of the premises and the mutual promises set forth <br />herein, the parties hereto covenant and agree as follows: <br />
