-2- The form and the amount of the City's and District's contributions starting with the year 1983 and thereafter will be detailed yearly in a contribution agreement between the City and the School District, approved by March 15 of each year. Should the contribution agreements not be mutually agreed to by March 15, as stated above, or should the contribution agreements mutually agreed to not be honored by either party, this Joint Powers Agreement shall be jointly reviewed within ninety (90) days after March 15 ~r from the date the agreement was not honored. 2. EASEMENT FOR EGRESS AND INGRESS ' The School District hereby grants to the City, its agents and em- ployees, and participants in its scheduled recreational activities, programs or events, an egress and ingress to said outside facilities so long as this agreement is in effect. 3. INDEMNIFICATION a. School District's indemnification of City. The School District hereby agrees to indemnify and hold harmless the City, its agents and employees, against any and all claims for damages, of whatever . nature, arising from or in consequence of the duties it has assumed hereunder and also arising from or in consequence of its operation, supervision, control or conducting of any of its recreational acti- vities, programs or events or related activities utilizing said outside facilities. b. City's indemnification of School District. The City hereby agrees to indemnify and hold harmless the School District, its agents and em- ployees, against any and all claims for damages of whatever nature, arising from or in consequence of the duties it has assumed hereunder and also arising from or in consequence of its operation, supervision, control or conducting of its recreational activities, programs or events or related activities utilizing said outside facilities. c. Nature and extent of indemnification. The indemnification set forth in the previous two subparagraphs of this paragraph 3 shall protect the indemnitee and its successors, from and against any and all actions,pro- ceedings, claims, demands, costs, damages and expenses, including reasonable attorneys' fees which it may pay, sustain or incur.
